Terms and Conditions – Early Alpha

Terms for the current free test use of Vantero

Version 1.1 • 4 September 2026

Section 1 – Provider, scope and test phase

(1) Vantero is provided by Franco Consulting GmbH, Maria-Theresia-Straße 17, 89331 Burgau, Germany (the “Provider”).

(2) These Terms apply to use of the web application, mobile applications and, where enabled, the programming interface by consumers and businesses.

(3) Vantero is in a non-public early-alpha test phase. Only a free test account is currently available. Individual agreements take precedence.

Section 2 – Service and current scope

(1) Vantero provides an interface for AI models, documents, knowledge features, workspaces and optional integrations. The features enabled in the account determine the current scope.

(2) Paid subscriptions, additional seats and token packages cannot currently be ordered. There is no checkout and no automatic conversion into a paid contract.

(3) References to planned plans or features are non-binding product planning until a purchase flow is expressly activated and are not an offer. The test account creates no entitlement to specific future features, models or plans.

Section 3 – Registration and contract formation

(1) The free-use agreement is concluded when the user registers an account, accepts these Terms and the Provider activates access or enables use.

(2) Registration details must be accurate and current. Credentials must be kept confidential; suspected misuse must be reported without undue delay.

(3) The contract language is German; this English version is provided for information. The current Terms are available online and may be saved.

Section 4 – AI outputs and professional review

(1) AI outputs are generated automatically by third-party models and may be inaccurate, incomplete, outdated or unsuitable. In particular, they are not legal, tax, medical or other professional advice.

(2) Users must independently verify outputs before any business, legal, safety-critical or otherwise material use. They remain responsible for selecting inputs, lawful use and deciding whether to rely on an output.

(3) Mandatory statutory warranty and liability rights remain unaffected.

Section 5 – Term, termination and data export

(1) The free-use agreement runs for an indefinite term. Users may end it at any time through the available account-deletion function or by email to kontakt@franco-consulting.com.

(2) The Provider may end the test account with reasonable notice. Immediate suspension or termination for cause, especially unlawful use or material security risks, remains available.

(3) Before ordinary termination, users will be given a reasonable opportunity to export their own content where technically available and reasonable. Deletion and retention follow the privacy policy; if a DPA has been incorporated, its return and deletion rules prevail.

Section 6 – Permitted use

(1) Vantero must not be used for unlawful content or conduct, infringement of third-party rights, circumvention of security or usage limits, unauthorised automated requests or interference with the service.

(2) Users may submit only data they are entitled to process. Special categories of personal data and confidential information may be processed only where a suitable legal basis, appropriate configuration and, where required, an effectively incorporated DPA are in place.

(3) The Provider may take proportionate protective measures, restrict access and terminate serious or repeated violations.

Section 7 – Rights in content

(1) Users retain their rights in submitted and uploaded content. They grant the Provider only those rights required to provide, transmit, store, secure and troubleshoot the service for the contract term.

(2) AI outputs may not attract copyright protection for lack of human authorship and may resemble third-party material. To the extent legally possible, the Provider assigns its own transferable rights in an individual output to the user without guaranteeing freedom from third-party rights.

(3) Vantero does not use customer inputs to train its own AI models. Provider-specific training and retention conditions are described in the documented model and data-zone information.

Section 8 – Availability, changes and updates

(1) No specific minimum availability or service level is promised for the free early alpha. Maintenance, troubleshooting, capacity limits and third-party outages may temporarily restrict use.

(2) Features, models and interfaces may be changed, replaced or removed during the test phase. Legally required security and conformity updates will be provided to the extent owed.

(3) Mandatory rights for digital products, especially consumer rights, remain unaffected.

Section 9 – Privacy and data processing

(1) The privacy policy explains the processing of personal data. Persistent platform data is stored on self-operated systems within IONOS Cloud infrastructure in Frankfurt am Main.

(2) AI requests, tools and integrations use the actively selected data zone and documented provider conditions. Depending on that choice, processing may occur in Germany, the EEA, the United Kingdom, the United States or through a global endpoint.

(3) Where a business customer processes third-party personal data as controller, the DPA must be expressly incorporated before processing begins. A download alone is insufficient.

Section 10 – API and integrations

(1) API and integration access exists only where enabled in the account. Keys and access tokens must be kept secret, appropriately protected and revoked without undue delay if disclosure is suspected.

(2) Documented limits, permissions and technical requirements must be observed. The Provider may temporarily restrict or suspend access in the event of abusive or security-threatening use.

(3) Connected third-party services are additionally subject to the terms agreed between the user and that third party.

Section 11 – Liability

(1) The Provider has unlimited liability for intent and gross negligence, culpable injury to life, body or health, under the German Product Liability Act and to the extent of any express guarantee.

(2) For a slightly negligent breach of a material contractual obligation, liability is limited to the damage typical for the contract and foreseeable when the agreement was concluded. Liability for slight negligence is otherwise excluded to the extent permitted by law.

(3) The notices concerning AI outputs do not restrict liability where such restriction would be unlawful. The limitations apply accordingly in favour of the Provider's legal representatives, employees and vicarious agents.

Section 12 – Changes to these Terms

(1) The Provider may amend these Terms for the future where required by changes in law, security requirements or development of the service and where reasonable for users.

(2) Material adverse changes will be notified in text form with reasonable advance notice. Where consent is legally required, they become effective only after express consent; silence alone does not constitute consent.

(3) If continuation under the previous version is not possible, the statutory termination rights of both parties remain unaffected.

Section 13 – Consumer dispute resolution and final provisions

(1) Notice under section 36 VSBG: The Provider is neither willing nor obliged to participate in dispute-resolution proceedings before a consumer arbitration body.

(2) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, mandatory protections of the law of their habitual residence remain unaffected.

(3) For merchants, public-law entities and public-law special funds, Burgau is the exclusive place of jurisdiction to the extent permitted. Statutory venues apply to consumers.

(4) If an individual provision is invalid, the statutory provisions take its place and the remaining provisions remain effective.
